UCrowded, Inc. (hereinafter "UCrowded") offers the UAlerted web site (hereinafter "the Site") to you, subject to these Terms of Use. Use the Site if and only if you agree to all the terms of this agreement, without modification, and if you accept any rules or guidelines posted on the Site. By using the Site you automatically accept this agreement and agree to be bound by its terms and you unequivocally accept any and all posted rules and guidelines. Please read this information carefully. This agreement is a binding, legal document.

The Terms of Use may be updated by UCrowded from time to time without notice to you. The Site and any other web sites that are linked to the Site or affiliated with the Site and all the information, communications, software, scripting, photos, text, video, graphics, music, sounds, images and other materials and services found on the Site (hereinafter "Content"), is intended for the lawful use of UAlerted Groups, Law Enforcement Agencies worldwide and members of the international media. The Site is controlled and operated in whole or in part by UCrowded and/or its designees from its offices within the United States. Those who access the Site from other locations do so at their own risk and are responsible for compliance with applicable local laws. You acknowledge that the Site reserves the right in its sole discretion to refuse or terminate access to the Site by you at any time.

You acknowledge and agree that UCrowded may terminate your access to the Site should you fail to comply with the Terms or any other guidelines and rules published by UCrowded. Any such termination shall be in UCrowded's sole discretion and may occur without prior notice, or any notice. UCrowded further reserves the right to terminate any user's access to the Site for any conduct that UCrowded, in its sole discretion, believes is or may be directly or indirectly harmful to other users, to UCrowded, to its subsidiaries, to its affiliates, to its business contractors, or to other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations.

You agree not to circumvent, disable or otherwise interfere with security related features on the Site.

Please review the Terms of Use at the Site prior to accessing the Site because the Terms may have changed. UCrowded may change the Terms and/or the scope or nature of the services offered through the Site, in whole or in part, at any time. Posting of the updated Terms of Use on the Site will constitute notice to you of any such changes, although UCrowded may choose other types of notice for certain changes. Changes will be effective upon notice. Your continued use of the Site following notice constitutes your acceptance of all changes. If you do not agree to changes to the Terms or the scope or nature of the Site, your sole and exclusive remedy will be to terminate your use of the Site.

The Site is only for your personal use. You agree that you will not use the Site for commercial purposes. You agree that you will not use the Site in any way that is unlawful, or harms UCrowded, its affiliates, resellers, distributors, service providers and/or suppliers (each, a "UCrowded Party" and collectively, the "UCrowded Parties") or any customer of a UCrowded Party, as determined in UCrowded's sole discretion. UCrowded may tell you about certain specific harmful uses in a code of conduct or other notices available through the Site, but has no obligation to do so. You may not use the Site in any way that breaches any code of conduct, policy, or other notice applicable to the Site. Without limiting the generality of this section, you may not use the Site in any manner that could damage, disable, overburden, or impair the Site (or the network(s) connected to the Site) or interfere with any other party's use and enjoyment of the Site.

You understand that when using the Site, you will be exposed to User Submissions from a variety of sources, and that the Site is not responsible for the accuracy, usefulness, or safety of such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against the Site with respect thereto, and agree to indemnify and hold the Site, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Site

Any Law Enforcement Agency (hereinafter Agency) may register with the Site to post content upon validation of identification provided to UCrowded. The determination of whether an Agency's identification is sufficient is within the sole discretion of UCrowded. Until proper identification is validated by UCrowded, an Agency will not be allowed to post any content on the Site.

A registered and validated Agency may submit video content and textual content (hereinafter "User Submissions"). You understand that whether or not such User Submissions are published, the Site does not guarantee any confidentiality with respect to any User Submissions. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: all information submitted in your User Submission is accurate to the best of your knowledge and belief and is not being used solely to harass, embarrass, intimidate, threaten or in any other way attempt malign the character of any individual or organization; you own or have the necessary licenses, rights, consents, and permissions to use and authorize the Site to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and these Terms of Service. For clarity, an Agency retains ownership rights of User Submissions submitted by it to the Site. However, by submitting User Submissions to the Site, you hereby grant the Site a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Site and UAlerted (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Site a non-exclusive license to access your User Submissions through the Site, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Site and under these Terms of Service. The above licenses granted by you in User Submissions terminate within a commercially reasonable time after you remove or delete your User Submissions from the Site. You understand and agree, however, that the Site may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Submissions are perpetual and irrevocable.

In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant the Site all of the license rights granted herein.

The Site does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and the Site expressly disclaims any and all liability in connection with User Submissions. The Site does not permit copyright infringing activities and infringement of intellectual property rights on the Site, and the Site will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. The Site reserves the right to remove Content and User Submissions without prior notice.

Failure to comply with any of the above provisions may result in the termination of your UAlerted account and may be referred to the proper law enforcement or governmental agency for further investigation at their discretion.

The Site appreciates your use of UAlerted publications to promote its mission and to help parents, guardians, and children address issues relating to missing children. All UAlerted publications are copyrighted. You may use the Site's publications so long as your use complies with and you agree to the following terms and conditions:

The Site's Materials are to be used unaltered and in their entirety for educational, noncommercial purposes. Under no circumstances are UAlerted Materials to be used for fundraising purposes.

The Site's Materials will not be used in any way that may create an impression of sponsorship or endorsement by the Site of any individual, entity, product, service, program, or event.

You will not use UAlerted publications in any way that may create an impression of affiliation, partnership, or sponsorship with or by the Site.

The Site is clearly noted as the source of the information.
Intended use will not conflict with the Site's standards for child safety.
You will immediately discontinue use of the UAlerted Materials if requested to do so by the Site or UCrowded.

You acknowledge the Site may periodically update the Reprint Policy and you are responsible for checking www.UAlerted.com to learn of any changes.

You may add a line of text to reprinted UAlerted Materials stating "Provided courtesy of" and insert your name and/or logo thereafter.

If you wish to reprint only an unaltered excerpt from UAlerted publications, you must submit a request for such use and a proof of the proposed reprint, including the accompanying text and/or images, to creative at ucrowded dot com.

You acknowledge you have read, and agree to be bound by these Terms of Use and to comply with all applicable laws and regulations, including without limitation U.S. export and re-export control laws and regulations regarding the transmission of technical data exported from the United States or the country in which you reside. You further agree to comply with all local laws, regulations and rules regarding online conduct and acceptable Content. You represent you have the legal authority to accept these Terms of Use on behalf of yourself or any party you represent. If you do not agree to these terms, please do not use the site.
